These Terms & Conditions (“Terms”) govern your access to and use of the Varenyon platform, including the Varenyon customer mobile application, related websites, and services operated by Varenyon Bharat Pvt Ltd (“Varenyon”, “we”, “us”, or “our”). By creating an account, browsing the catalog, placing an order, submitting an enquiry, applying as a reseller, or using any part of the platform, you agree to these Terms.

1. About the Varenyon Platform

Varenyon is an India-oriented multi-vendor marketplace that enables customers to discover products, place e-commerce orders, submit product enquiries, track fulfilment, manage wallet credits, and participate in referral rewards. Sellers operate through the Varenyon Vendor Panel for catalog, inventory, orders, exchanges, leads, and finance. Certain features, such as reseller pricing or sales-assisted ordering, may be available only after approval.

• Customer Mobile App for browsing, cart checkout, enquiries, orders, wallet, and referrals
• Vendor Panel for KYC onboarding, catalog approvals, stock, fulfilment, and lead management
• Platform moderation for products, reviews, complaints, and coverage rules

2. Eligibility and Accounts

You must be legally capable of entering into a binding contract under applicable Indian law to use Varenyon. When you register, you agree to provide accurate, complete, and current information and to keep your credentials secure. You are responsible for all activity carried out through your account.

• One person or business entity should maintain an account in their own lawful capacity
• You must not share OTP, passwords, or authentication credentials with others
• We may suspend or terminate accounts that are inaccurate, abusive, fraudulent, or non-compliant

3. Marketplace Role

Varenyon operates as a marketplace platform. Products may be listed by Varenyon or by independent vendors. Unless expressly stated otherwise, the seller identified on the product or order is responsible for product quality, description accuracy, packing, shipment, and applicable statutory compliance. Varenyon may facilitate discovery, payments, communications, moderation, and dispute workflows, but is not the manufacturer of every product sold on the platform.

4. Orders, Pricing, and Payments

Product availability, prices, taxes, delivery estimates, and offers displayed in the app are subject to confirmation at checkout. Prices may vary by customer type, including retail and approved reseller price types where enabled. Payments may be accepted through methods configured on the platform, such as UPI, cards, cash on delivery, online gateways (including Razorpay where enabled), and Varenyon Wallet credits.

• An order is accepted when the platform confirms it after successful payment authorisation, COD confirmation, or wallet settlement, as applicable
• Stock may be reserved at checkout and released if payment fails or the order is cancelled according to policy
• Invoices, GST details, and shipment charges are generated based on platform and seller configuration
• We may cancel orders in cases of pricing errors, stock unavailability, suspected fraud, serviceability issues, or legal restrictions

5. Enquiry and Lead Marketplace Products

Some products may be offered in enquiry mode rather than immediate cart checkout. By submitting an enquiry form, you authorise Varenyon and/or the relevant vendor or sales team to contact you regarding your request. Enquiry submissions create leads that may be assigned, updated, and closed according to platform workflows. Submitting an enquiry does not guarantee product availability, pricing, or deal closure.

6. Resellers, Referrals, and Wallet

Customers may apply for reseller status subject to KYC and approval. Approved resellers may access configured reseller pricing. Share App / referral rewards and Varenyon Wallet credits are promotional features governed by platform settings and may be modified, paused, or withdrawn. Wallet balances are not transferable outside the platform except as expressly permitted by Varenyon.

7. Vendor Obligations

Vendors using the Vendor Panel must provide accurate business, bank, and KYC information; list only products they are authorised to sell; maintain stock and fulfilment standards; honour approved orders and exchange workflows; and comply with applicable laws, including tax, packaging, and consumer protection requirements. Product listings and change requests may require platform approval before becoming live.

8. Acceptable Use

You agree not to misuse the platform. Prohibited conduct includes, without limitation:

• Posting false, misleading, defamatory, or unlawful content
• Attempting to interfere with platform security, APIs, or other users’ accounts
• Using the platform for fraud, money laundering, or prohibited goods
• Manipulating reviews, ratings, referrals, commissions, or wallet rewards
• Scraping, reverse engineering, or commercially exploiting platform content without authorisation

9. Intellectual Property

The Varenyon name, logos, app design, software, content, and trademarks are owned by Varenyon or its licensors. Product images and descriptions may be provided by vendors and remain subject to their rights and warranties. You may not copy, modify, distribute, or create derivative works from platform materials except as expressly allowed by law or written permission from Varenyon.

10. Disclaimers and Limitation of Liability

The platform is provided on an “as is” and “as available” basis. While we strive for reliable service, we do not warrant uninterrupted availability, error-free operation, or that every listing will meet your expectations. To the maximum extent permitted by law, Varenyon’s aggregate liability arising out of your use of the platform shall be limited to the amount paid by you for the specific order or transaction giving rise to the claim, or such other minimum amount required under applicable law.

11. Indemnity

You agree to indemnify and hold harmless Varenyon Bharat Pvt Ltd, its directors, employees, and partners from claims, losses, damages, and expenses arising from your breach of these Terms, misuse of the platform, violation of law, or infringement of third-party rights.

12. Changes to These Terms

We may update these Terms from time to time to reflect product, legal, or operational changes. Updated Terms will be posted on this page with a revised “Last updated” date. Continued use of the platform after changes become effective constitutes acceptance of the updated Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Subject to applicable consumer protection rights, courts in India shall have jurisdiction over disputes arising from these Terms or your use of the platform. You agree to first contact us to attempt good-faith resolution before initiating formal proceedings.
